1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "you"), and Pulse Prakriti, a venture of Pranav Digitals ("we," "us," or "our"), concerning your access to and use of our website as well as any related web development, software architecture, and digital marketing services we provide. By engaging our services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions.

2. Scope of Web Development Services

Pulse Prakriti specializes in custom web architectures, Laravel framework development, Content Management Systems (WordPress), e-commerce solutions, and technical SEO.

• Project Scope: The specific details, deliverables, timelines, and costs of your project will be outlined in a separate formal "Project Proposal" or "Statement of Work" (SOW).
• Scope Creep: Any requests for additional features, pages, or modifications outside the originally agreed SOW will be subject to additional hourly billing or a revised project quote.
• Third-Party Platforms: We may utilize third-party tools, plugins, APIs, or hosting services. We are not liable for any downtime, data breaches, or operational failures originating from these external providers.

3. Client Obligations

The successful delivery of a digital asset requires active collaboration. The Client agrees to provide all necessary assets (brand guidelines, high-resolution logos, text copy, images, and server access credentials) in a timely manner. Delays in providing required materials or project approvals will result in corresponding delays in the final delivery date, for which Pulse Prakriti holds no liability.

4. Payment Terms & Billing

As an enterprise agency, we follow strict financial protocols to ensure project dedication and resource allocation:

• Deposits: A non-refundable upfront deposit (typically 50% of the total project cost) is required before any development, design, or architectural work commences.
• Milestones: Remaining balances are tied to specific project milestones and must be cleared prior to final deployment on the live server.
• Refunds: Due to the custom nature of software engineering and the immediate allocation of developer hours, all payments and deposits are strictly non-refundable once work has commenced.

5. Intellectual Property Rights

Upon receipt of full and final payment, the Client will be granted full ownership and intellectual property rights to the final frontend visual design, customized source code, and website content. However, Pulse Prakriti retains the right to reuse backend architectural libraries, generic code modules, and open-source frameworks developed during the project. We also reserve the right to display the completed project within our digital portfolio and case studies.

6. SEO & Search Engine Limitations

While we utilize industry-leading Technical SEO practices, schema injections, and speed optimizations, search engine algorithms (like Google) are entirely controlled by third parties and change constantly. Therefore, Pulse Prakriti does not guarantee any specific ranking position, organic traffic volume, or immediate financial returns. SEO is an ongoing architectural strategy, and algorithmic fluctuations are beyond our legal liability.

7. Limitation of Liability

Under no circumstances shall Pulse Prakriti, its directors, employees, or partners be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of our web platforms, including but not loss of profits, loss of data, business interruptions, or cyber-attacks. Our web architectures are delivered "as is" and "as available" without warranties of any kind, either express or implied, except where mandated by law.

8. Governing Law & Jurisdiction

These Terms and Conditions and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts located in Jodhpur, Rajasthan, India.
